This Agreement is entered into as of [DATE] between Delta Hub Media ("Provider") and [BUSINESS NAME] ("Client"). By proceeding with services, Client agrees to the following terms.
1. Services
Provider agrees to deliver the following services:
- Tier 1 — AI Chat Assistant: Build, configure, and install an AI-powered chat assistant on Client's existing website. Includes training on Client's business information, lead capture setup, and ongoing hosting and maintenance. (Check if applicable)
- Tier 2 — Website + AI Chat Bundle: Build a new website for Client and include the AI Chat Assistant described above. (Check if applicable)
- Provider will deliver a preview for Client review before going live. Client may request reasonable revisions at no charge prior to launch.
2. Fees and Payment
- Setup Fee: [$397 / $697] — due after Client approves the final deliverable, before go-live. Invoiced via Stripe.
- Monthly Fee: [$89 / $129] per month — covers hosting, maintenance, updates, and monthly reporting. Billed on the same day each month via Stripe recurring subscription.
- If a payment fails and is not resolved within 7 days, Provider may suspend the service until payment is received.
- Prices are subject to change with 30 days' written notice to Client.
3. Term and Cancellation
- This Agreement begins on the go-live date and continues month-to-month.
- Either party may cancel by providing written notice (email is acceptable) at least 7 days before the next billing date.
- Upon cancellation, the AI assistant and any hosted content will be taken offline. Provider is not required to provide source files or transfer hosting to another provider unless separately agreed.
- The setup fee is non-refundable once the AI assistant has been built and approved by Client.
4. Client Responsibilities
- Client agrees to provide accurate and complete business information for training the AI assistant.
- Client is responsible for reviewing the AI assistant before launch and approving it or requesting changes.
- Client agrees to notify Provider of any changes to business hours, services, or other information that affects the AI assistant's accuracy.
- If Tier 2 (website), Client agrees to provide content (photos, descriptions, etc.) in a timely manner. Delays in providing content may delay the project timeline.
5. Intellectual Property
- The AI assistant and website built by Provider are licensed to Client for use during the active subscription period.
- Client retains ownership of all content they provide (business info, photos, text).
- Provider retains ownership of the underlying technology, code, and platform infrastructure.
6. Limitation of Liability
Provider's total liability under this Agreement shall not exceed the fees paid by Client in the 3 months preceding any claim. Provider is not liable for indirect, consequential, or lost-profits damages. The AI assistant is a lead capture and information tool — Provider makes no guarantee of specific business results, lead volumes, or revenue outcomes.
7. Confidentiality
Both parties agree to keep each other's non-public business information confidential and not to disclose it to third parties without written consent, except as required by law.
8. Governing Law
This Agreement is governed by the laws of the State of Colorado. Any disputes shall be resolved in the courts of El Paso County, Colorado.
